Draft for review by counsel

This text has not yet been reviewed by a lawyer and may change before it takes effect. It describes what the software does today.

Points for counsel to check
  • Limitation of liability, indemnities, governing law and the courts or arbitration seat (section 12 is a placeholder).
  • Whether a partner who accepts can bind the firm, and what the firm must do when partners change.
  • Notice period before Dinero suspends or ends a firm's account, and what happens to data after that.
  • Whether the trial, grace period and read-only rules in section 8 match the billing terms on the invoice.
  • Stamp duty and electronic acceptance (Information Technology Act, 2000) for a click-through agreement.

Terms of service

The agreement between Dinero Technologies Pvt Ltd and a CA firm that uses CA ClientOps.

Version 2026-10-11

1. Who this agreement is between

These terms are between Dinero Technologies Pvt Ltd, 403, Vinita Building, Gokhale Road, Naupada, Thane 400602, Maharashtra ("Dinero", "we") and the chartered accountancy firm that uses CA ClientOps (the "firm").

A partner of the firm accepts them for the firm, when the firm signs up or when a new version is published. By accepting, the partner confirms they may agree to them on the firm's behalf.

2. What CA ClientOps does

CA ClientOps helps the firm collect documents from its clients. It:

  • keeps the firm's list of clients, their contacts and the services the firm handles for them;
  • opens a checklist for each client and period, with the statutory due date and the firm's own cut-off;
  • sends the checklist and reminders to clients by WhatsApp or email, but only after the firm switches messaging on;
  • gives each client a private upload page, checks each file's type and size, and files it against the checklist;
  • shows staff what has come in, what is missing and what is ready for review, and keeps an audit trail of every change.

The firm stays responsible for its professional work, its filings and its deadlines. Due dates in the app come from the published statutory calendar and the extensions Dinero enters; check them against official notifications before relying on them.

3. Accounts and security

Every person at the firm signs in with their own account. Partners add and remove people from the Team page and decide what role each has.

Partners must use two-factor sign-in with an authenticator app. Everyone else may switch it on from their account page.

Keep passwords and recovery codes private. If you think an account has been used by someone else, sign it out from the account page, change the password and tell us at info@dinerotechnologies.in.

4. The firm's data

The firm's data, and its clients' data, belong to the firm. Dinero processes them only to provide the service, as set out in the data processing agreement, which forms part of these terms.

A partner can export all of the firm's data at any time from Settings, Privacy and data, and can delete all of it after an export.

Dinero does not sell the firm's data and does not use it for advertising.

5. Messages to clients

The firm decides which clients are contacted, on which number or address, and what its checklists ask for. The firm is responsible for having the right to contact its clients and for following WhatsApp's business messaging rules.

Messages go only when the firm has switched messaging on. Every reminder tells the client how to stop reminders; a client who replies STOP gets no more automatic reminders.

6. Fair use

Use CA ClientOps only to collect documents from the firm's own clients. Do not:

  • upload or send anything unlawful, or anything the firm has no right to hold;
  • try to reach another firm's data, test the service's security without our written permission, or get around a limit;
  • send messages that are not about the firm's work for the client;
  • overload the service or copy it to build a competing product.

7. Plans and limits

Each plan has limits on active clients, users and WhatsApp messages. The app warns a partner when the firm reaches 80% of a limit. At the limit, new additions are blocked until the firm moves to a larger plan or frees room; messages already queued still go.

8. Trial and payment

A firm that signs up gets a free trial of 14 days with the limits of the Growth plan. No payment details are needed for the trial.

To continue after the trial, a partner chooses a paid plan in the app. The price is the one shown when the plan is chosen, and GST is added on the invoice. Dinero issues a GST tax invoice for each payment.

If the trial ends without a plan, or a payment fails and is not made within 7 days, the firm's account becomes read-only: staff can still see and download everything, but cannot change anything, and reminders stop. Paying ends read-only mode.

9. Availability and support

We work to keep CA ClientOps available and to fix problems quickly, but we cannot promise it will never be interrupted. We will try to tell partners before planned maintenance.

Support is by email at info@dinerotechnologies.in. Dinero support sees a firm's details only when a partner grants support access for a fixed time from Settings, Support access; every view is recorded in the firm's audit trail.

10. Ending the agreement

The firm can stop at any time: export the data, then delete the firm's data from Settings, Privacy and data. Deleting cannot be undone.

Dinero may suspend or end a firm's account if it breaks these terms or does not pay, after telling a partner and giving the firm a chance to export its data, unless the law or an urgent security risk requires faster action.

11. Changes to these terms

Each version of these terms has a version number. When we publish a new version, every partner is asked to accept it before continuing to use the app. Settings, Privacy and data shows which versions the firm accepted, by whom and when.

12. Liability and disputes

To be written by counsel: limitation of liability, indemnities, governing law and how disputes are resolved.
